1. Who we are

Silkdev-SUARL (RNE / matricule fiscal 1782006M) is a software design and development studio based in Menzel Bourguiba, Tunisia (bureau 5, centre Aziza, 1er étage, Av. de l'Indépendance, Menzel Bourguiba 7050). You can reach us at contact@silkdev.com.tn or +216 92 018 279.

2. Our services

We provide web design and development, AI and agent pipeline engineering, API and platform development, and fractional CTO services. We also build products, including SILKLEARN.

We do not publish fixed prices. Every project is scoped individually and quoted at a fixed price after we understand your needs.

3. AI assistants

The AI intake assistant helps you shape a project brief through conversation. Information you share may be processed by third-party large language model providers to generate responses. The final brief is reviewed and submitted by you before it reaches us.

Once your project is active, the client portal includes an AI project representative that answers questions about your project and may add tasks to your planner or store notes about your preferences so future conversations are more helpful.

AI-generated responses are informational and may be imperfect. Do not rely on them as professional, legal, or financial advice, and do not share sensitive personal data (such as health, financial, or identification numbers) through the chat. We are not liable for information you volunteer.

4. Your responsibilities

You agree to provide accurate information and to use the website, chat, and portal lawfully. You must not submit unlawful, infringing, or malicious content.

5. Quotes, payments, and delivery

Each engagement begins with a written proposal: scope, fixed price, and timeline. Payment terms (deposit, milestones, or full payment) are agreed per project.

Currency: all amounts are quoted and payable in Tunisian Dinars (TND).

Taxes: quoted prices are exclusive of tax (hors taxes, HT). Silkdev-SUARL is registered for TVA (VAT); the applicable rate in force is added to the quoted amount and itemized separately on your invoice.

Additional fees: the quoted price is all-inclusive of the agreed scope — we do not add undisclosed or additional fees. Work outside the agreed scope (a change request, extra revisions, added features) is quoted and agreed separately before it begins.

Where we offer online payment, transactions are processed by Flouci, a licensed Tunisian payment provider; accepted payment methods are shown at checkout. We also accept payment by bank wire transfer or check for certain engagements. We never see or store your card details when you pay online.

Delivery conditions: the proposal states an estimated delivery timeline for each milestone. Deliverables (source code, deployments, documentation, or access credentials, as applicable) are provided electronically once the corresponding milestone is accepted in the client portal. We do not ship physical goods, so no shipping, customs, or carrier terms apply.

Intellectual property in deliverables transfers to you upon full payment; until then we retain rights to the work product.

6. Confidentiality

We treat the briefs, projects, and materials you share as confidential and use them only to deliver our services.

7. Limitation of liability

To the maximum extent permitted by law, Silkdev-SUARL is not liable for indirect, incidental, or consequential damages arising from your use of the website, the AI assistant, or our services. Our total liability for any claim is limited to the amount you paid us for the relevant project in the twelve months preceding the claim.

8. Changes to these terms

We may update these terms from time to time. The updated version will be published on this page with a new revision date.

9. Cancellation policy, returns, refunds, and disputes

Cancellation policy: because each engagement is individually scoped and quoted, the specific cancellation terms for your project are set out in the written proposal you accept. As a general rule: a deposit secures our commitment to begin work and is non-refundable once work has started; milestone payments cover work already delivered and become non-refundable once the corresponding milestone has been accepted; if you cancel before we begin a milestone, any amount prepaid for that milestone may be refunded at our discretion, less any work already performed. To cancel a project or an upcoming milestone, notify us in writing at contact@silkdev.com.tn or +216 92 018 279 as early as possible; we will confirm in writing what has been delivered, what remains payable, and any refund due.

Returns, exchanges, and refunds: we deliver custom software and services electronically, not physical goods, so there is no product return or exchange process. Refund conditions instead follow the cancellation policy above and the terms of your written proposal: amounts covering work not yet performed are refundable, amounts covering accepted, already-delivered work are not.

Dispute resolution: if you believe a charge was made in error or you are unsatisfied with delivered work, contact us first at contact@silkdev.com.tn so we can resolve it directly. If we cannot reach an agreement, the dispute is subject to the governing law and jurisdiction set out in Section 10.

10. Governing law

These terms are governed by the laws of the Republic of Tunisia. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Tunisia.
